1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the EduAutomate website and software platform at https://eduautomate.app (the "Service"), operated by EduAutomate ("we", "us", or "our").

By creating an account, connecting integrations, or using the Service on behalf of a school or organization, you represent that you have authority to bind that organization and agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

EduAutomate provides subscription-based, multi-tenant software for language schools and training centers, including features such as:

• Student records, courses, batches, and enrollments
• Manual payment tracking, slip verification, invoices, and billing
• AI-powered FAQ replies and lead/inquiry management
• Facebook Messenger and Telegram integrations
• Team accounts with role-based permissions
• Prepaid AI credit usage and plan-based feature access

Available features depend on your subscription plan and enabled integrations. We may add, modify, or discontinue features with reasonable notice where practicable.

3. Eligibility and Accounts

• You must provide accurate registration information and keep it up to date
• You are responsible for all activity under your account and for safeguarding login credentials
• You must ensure that staff members are authorized to access school data assigned to them
• You must not share accounts between unrelated organizations or impersonate another party
• We may refuse registration or suspend access if information is false, incomplete, or used in violation of these Terms

4. Subscriptions, Billing, and Credits

• The Service is offered on subscription plans with feature limits defined in the platform
• Top-ups and plan upgrades may require manual verification of KPay, Wave, or other approved payment methods
• AI features consume prepaid credits. Credit usage is recorded in your account ledger
• Approved payments, invoices, and billing records may be retained for accounting and dispute resolution
• Fees paid are generally non-refundable except where required by law or explicitly approved by us in writing
• Failure to maintain an active subscription or sufficient credits may limit or suspend feature access

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unlawful solicitations, harassment, hate speech, or deceptive content through integrated channels
• Upload malware, attempt unauthorized access, probe systems, or interfere with Service security or performance
• Misuse AI features to generate harmful, illegal, or misleading content
• Collect or process personal data without a lawful basis or required notice to data subjects
• Circumvent plan limits, credit controls, billing rules, or access restrictions
• Reverse engineer, resell, or sublicense the Service except as expressly permitted

We may investigate suspected violations and take action including warning, feature restriction, suspension, or termination.

6. Third-Party Integrations

The Service may connect to third-party platforms such as Meta/Facebook Messenger, Telegram, Google Gemini, and payment or infrastructure providers. Your use of those integrations is also subject to the third party's terms and policies.

• You are responsible for obtaining necessary permissions to connect Facebook Pages, Telegram bots, and other channels
• You must comply with Meta Platform Terms, Messenger policies, Telegram Bot API rules, and applicable messaging laws
• We are not responsible for outages, policy changes, account restrictions, or data handling by third-party providers
• Disconnecting an integration from Settings stops new processing through that channel, subject to reasonable technical and backup delays

7. Your Content and Data

You retain ownership of content and data you submit to the Service, including student records, FAQs, payment information, and messaging content. You grant us a limited license to host, process, transmit, and display that content solely to provide, secure, and improve the Service.

You represent that you have the rights and permissions needed for the data you upload or connect, including consent where required for student and customer communications.

Our handling of personal data is described in the Privacy Policy.

8. AI Features Disclaimer

AI-generated replies, summaries, OCR results, and other automated outputs are provided for assistance only. They may be inaccurate, incomplete, or outdated. You remain responsible for reviewing important communications, enrollment decisions, payment records, and customer-facing messages before relying on them.

We do not guarantee that AI outputs will be error-free, legally compliant, or suitable for every situation. Use human oversight where appropriate, especially for fees, enrollment status, and identity-related information.

9. Service Availability

We strive to keep the Service available and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, infrastructure failures, third-party outages, internet disruptions, or force majeure events may cause temporary downtime or delayed message delivery.

10. Suspension and Termination

We may suspend or terminate access immediately if we reasonably believe you have violated these Terms, created security or legal risk, failed to pay required fees, or abused platform resources.

You may stop using the Service at any time. Upon termination, your right to access the Service ends. We may retain or delete data according to our Privacy Policy, backup schedules, and legal obligations.

11. Intellectual Property

The Service, including its software, design, branding, documentation, and underlying technology, is owned by EduAutomate or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you ownership of the Service itself.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDUAUTOMATE AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM OR RELATED TO THE SERVICE.

Without limiting the foregoing, we are not liable for AI reply errors, messaging delivery delays, manual payment entry mistakes, third-party platform actions, or unauthorized access resulting from your failure to protect credentials.

Where liability cannot be excluded, our total aggregate liability for claims arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD 100), whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless EduAutomate from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content or data, your integrations, your violation of these Terms, or your violation of any law or third-party rights.

15. Governing Law

These Terms are governed by the laws of the Republic of the Union of Myanmar, without regard to conflict-of-law principles. Courts in Myanmar shall have exclusive jurisdiction over disputes arising from these Terms, except where mandatory consumer protection laws require otherwise.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above indicates the latest version. Material changes may be communicated through the Service or by email where appropriate. Continued use after changes take effect constitutes acceptance of the revised Terms.
